Terms of sale

Article 1 – Scope

These Terms of Sale apply without restriction or reservation to all sales made by Emmanuel Alcindor Sebastien (the “Seller”) to consumers and non-professional buyers (the “Customer”) purchasing products offered on https://kenseikaizen.fr/.

They describe ordering, payment, delivery and returns. Additional conditions may be displayed on the website before a transaction. These terms exclude other conditions, including those applying to in-store sales or other distribution channels.

They are available at any time on the website and prevail over conflicting versions or documents. The version applying to a purchase is the version in force when the order is placed.

Article 2 – Products offered

The store offers individual knives, knife sets and accessories.

Main features, specifications, illustrations and dimensions or capacities are shown on the product pages. Customers must read them before ordering and are responsible for selecting their products. Photographs and graphics are illustrative and non-contractual.

Refer to each product description for essential features and delivery times, and, where a product is supplied continuously or periodically, the minimum contract duration. Contract information is provided on the website and confirmed no later than order validation. An English version is provided for the United States market.

Article 3 – Availability

Product offers are valid while stocks last, as indicated when the order is placed.

Article 4 – Seller details

Emmanuel Alcindor Sebastien

Under the French Data Protection Act of January 6, 1978 and the GDPR, effective May 25, 2018, Customers have rights to access, correct, object to, erase and transfer their personal data. Requests may be made in writing to the Seller's address, with proof of identity.

Validating an order constitutes acceptance of these Terms of Sale. Customers acknowledge that they have legal capacity to enter into a contract and buy the products.

Article 5 – Orders

5.1 Placing an order

Customers select products on the website. Before confirming, they can review the order, check the total and correct errors. They must check its accuracy and immediately report or correct any mistake.

An order is recorded when the Customer accepts the Terms of Sale and validates the order. Validation includes acceptance of these terms and the website's Terms of Service.

The sale is final after the Seller emails confirmation of acceptance and receives full payment. An order placed, validated and confirmed under these conditions forms a distance contract between the Customer and Seller.

Unless proved otherwise, the Seller's computer records serve as evidence of transactions. The Seller may cancel or refuse an order where there is a dispute concerning payment of an earlier order. Customers can follow progress through the store's order-tracking section.

Website sales are intended for consumers and non-professional buyers purchasing for personal use. The Seller may refuse large-quantity orders of the same product involving more than two items. Professional inquiries should be directed to the dedicated professional service.

5.2 Order changes

Changes can be accepted only where possible and if emailed to support@kenseikaizen.fr at least two days before the planned dispatch date. If the requested change cannot be accepted, payments will be returned within a maximum of two days after notification, unless the Customer prefers store credit or an exchange.

5.3 Cancellation

Outside the right of withdrawal or force majeure, Customers may cancel without charge at least two days before the planned supply date.

Article 6 – Prices

Products are supplied at the prices displayed when the Seller records the order. For the United States market, prices are displayed in US dollars. French VAT is not applicable under Article 293 B of the French General Tax Code.

Prices include any discounts displayed on the website. They are fixed during their stated validity period; outside that period, the Seller may change them. Shipping to the United States is free, with no minimum purchase. The amount payable is the total shown at checkout, including any applicable charges.

Article 7 – Payment

The full price is due when the order is placed through the secure payment methods available at checkout, which may include payment cards, Visa, Mastercard, American Express, Apple Pay, PayPal and Klarna.

Card payments are irrevocable except in the event of fraudulent use, in which case the Customer may request cancellation of the payment and repayment of the corresponding amount. Installment options are subject to provider eligibility and terms.

Article 8 – Delivery

For the United States market, orders are delivered to the United States. Estimated total delivery time is 7–10 business days to the address supplied at checkout, normally including 1–2 business days of processing and 6–8 business days in transit. Personalized items may require the additional preparation time stated on the product page.

Delivery occurs when the Customer receives physical possession or control of the product. Unless special circumstances or product availability require otherwise, ordered products are delivered together.

The Seller makes its best efforts to meet these estimates, which are indicative. If delivery has not occurred within 30 days after the estimated date, for reasons other than force majeure or the Customer's actions, the Customer may request cancellation in writing under Articles L216-2, L216-3 and L241-4 of the French Consumer Code. Amounts paid will then be returned within 14 days of cancellation, without a deduction or compensation payment.

If a delivered product does not conform to the order, the Seller will remedy the issue or refund the Customer as described in the warranty section. The Seller bears transport risks and refunds the Customer for damage during transit.

Article 9 – Ownership and risk

Ownership transfers only after full payment, regardless of delivery date. Risk of loss or damage transfers when the Customer takes physical possession. Products travel at the Seller's risk.

Article 10 – Returns and withdrawal

Customers have 14 days from receipt to notify the Seller of a return or withdrawal request without giving a reason or paying a penalty, for an exchange or refund. Return products within 14 days after notifying the Seller, complete and in original packaging and condition, with accessories, instructions and the purchase invoice, so they can be resold as new. Damaged, soiled or incomplete change-of-mind returns are not accepted.

A request may be made using the withdrawal form or any unambiguous statement. The Seller will acknowledge an online request on a durable medium. Return shipping is free and paid by the Seller.

For an eligible return, the product price and delivery charges are refunded to the original payment method within a maximum of 14 days after notification. The Seller may withhold repayment until receiving the returned product or proof of dispatch, whichever occurs first.

Engraved or otherwise personalized products are excluded from change-of-mind returns. This exclusion does not affect remedies for a defective, damaged or incorrect product, or a personalization error made by Kensei Kaizen.

Article 11 – Seller liability and warranties

Products comply with regulations in force in France and are intended for non-professional use.

Without additional payment and independently of withdrawal rights, products benefit from applicable statutory conformity and hidden-defect warranties, including for apparently defective, damaged or incorrect products and defects in materials, design or manufacture that make a product unsuitable for its intended use.

Under the French statutory conformity warranty described in the source terms, Customers have two years from delivery to act, may choose repair or replacement subject to the cost conditions in Article L217-9 of the French Consumer Code, and need not prove that a conformity defect existed during the 24 months following delivery. Statutory conformity rights apply independently of any commercial warranty.

Customers may also invoke the hidden-defect warranty under Article 1641 of the French Civil Code and choose cancellation of the sale or a price reduction under Article 1644.

The Seller will refund or replace covered products or parts found defective or non-conforming. Outbound shipping is reimbursed at the invoiced rate; return expenses are reimbursed upon presentation of receipts. Refunds are made promptly, no later than 14 days after the Seller establishes the defect, by credit to the Customer's account.

The Seller is not responsible for failure to comply with legislation in the delivery country, which Customers must check, or for misuse, professional use, negligence, insufficient maintenance, normal wear, accident or force majeure. The Seller's warranty is limited to replacement or refund of defective or non-conforming products.

Article 12 – Personal data

Under French Law 78-17 of January 6, 1978, as amended by Law 2018-493 of June 20, 2018, requested personal data is needed to process orders and prepare invoices. It may be shared with partners handling fulfillment, processing, management and payment.

Information processing through the website is subject to applicable data-protection requirements. Under national and European rules, Customers have rights to access, modify, correct, object to, transfer and restrict processing of their information, as described in the Privacy Policy.

Article 13 – Intellectual property

Website content belongs to the Seller and its partners and is protected by French and international intellectual-property laws. Reproduction in whole or in part is prohibited and may constitute infringement or unfair competition.

Article 14 – Unforeseeable changes

These Terms expressly exclude the unforeseeability regime in Article 1195 of the French Civil Code for product sales. Both parties waive reliance on that provision and regime.

Article 15 – Force majeure

Neither party is liable for failure or delay caused by force majeure within the meaning of Article 1218 of the French Civil Code.

Article 16 – Governing law and language

These Terms of Sale and related transactions are governed by French law. The English text is a translation and market adaptation of the French terms; the French text prevails in a dispute, as stated in the source terms.

Article 17 – Disputes

Disputes concerning validity, interpretation, performance, termination or consequences that cannot be resolved between Seller and Customer are submitted to the competent courts under ordinary rules.

Customers may seek conventional consumer mediation under Article L612-1 of the French Consumer Code, sector mediation or an alternative dispute-resolution process such as conciliation. Named mediator: CM2C, 14 rue Saint Jean, 75017 Paris, France; telephone +33 1 89 47 00 14.

Article 18 – Pre-contract information and acceptance

Placing an order entails full acceptance of these Terms and the obligation to pay for ordered products. The Customer acknowledges this and may not rely on a contradictory document against the Seller.

Appendix 1 – Statutory warranty provisions referenced in the French terms

Article L217-4, French Consumer Code: the Seller must deliver goods conforming to the contract and is responsible for conformity defects existing at delivery, including defects caused by packaging, assembly instructions or installation where installation was contractually assigned to the Seller or performed under its responsibility.

Article L217-5: goods must be suitable for the ordinary use expected of comparable goods; match the Seller's description and sample or model; possess qualities reasonably expected in light of public statements by the Seller, producer or representative, including advertising or labeling; or possess characteristics agreed by the parties or suit a specific purpose disclosed to and accepted by the Seller.

Article L217-12: action arising from a conformity defect is time-barred two years after delivery.

Article L217-16: when a buyer requests repair covered by a commercial warranty, a period of unavailability of at least seven days is added to the remaining warranty period. It runs from the request or from the later date the goods are made available for repair.

Article 1641, French Civil Code: the Seller warrants against hidden defects that make goods unsuitable for their intended use or reduce their usefulness so substantially that the buyer would not have bought them, or would have paid less, if aware of the defect.

Article 1648, first paragraph: a buyer must bring a hidden-defect action within two years after discovering the defect.

Appendix 2 – Withdrawal form

Complete and return this form only if you wish to withdraw from an order, subject to exclusions and limits in the applicable Terms of Sale.
